Viome Provider Privacy Notice

This privacy policy or notice for providers (“Provider Privacy Notice” or “Provider Notice”) contains the information and disclosures applicable only to the licensed healthcare providers, clinics, and other authorized healthcare organizations through which healthcare services are delivered by providers (collectively, “Provider” or “Providers”) that maintain a contractual relationship with Viome Life Sciences, Inc. (“Viome”) for the purpose of providing Viome Services related to our Provider-Ordered Tests such as Viome Pro Solutions (“Provider Ordered Tests”) available exclusively through the Providers.
This Provider Privacy Notice supplements the Viome Privacy Policy on our website viomepro.com (“Privacy Policy”). This Provider Notice together with the Privacy Policy shall constitute the privacy notices and disclosures applicable only to our Services related to Provider Ordered Tests. Please read this Provider Notice and our Privacy Policy carefully.
Applicability
This Provider Notice applies to all Providers placing orders for Provider Ordered Tests and receiving Services from Viome. Any capitalized term used herein that is not defined shall have the same meaning ascribed to it in our Terms.
In connection with providing the applicable Services related to are Provider Ordered Tests Viome may receive, access, or process certain information, consumer health data, and/or Protected Health Information (“PHI”) on behalf of, or at the direction of, the applicable Provider pursuant to applicable law, contractual arrangements (“Provider Contract”), Business Associate Agreements with Covered Entities (“BAAs”), data processing agreements, or similar healthcare privacy and security arrangements between Viome and Providers.
In these circumstances, with respect to certain patient information that constitute PHI, the applicable Provider may act as the healthcare provider, controller, Covered Entity, or primary relationship holder with respect to the PHI. Similarly, Viome may act as a laboratory service provider, processor, business associate, or service provider operating on behalf of the Provider, depending on the nature of the Services, terms of the Provider Contract, the BAA, and applicable law.
When providing the Services related to Provider Ordered Tests to Providers (collectively, “Provider Services”), Viome may use, access, process, analyze, maintain, share, transmit, and disclose information as reasonably necessary to:
When we receive PHI from Providers for the purpose of facilitating the Services related to Provider Ordered Tests, you agree and represent that you have received the necessary patient consents applicable to sharing applicable patient data with us.
Where Provider Services are ordered or facilitated by a Provider, you agree that certain information, reports, recommendations, test results, health-related insights, or related communications may be shared with the ordering or authorized Provider and/or the Provider’s authorized workforce members, contractors, delegates, service providers, or affiliated entities consistent with applicable law, patient authorizations or consents, and applicable contractual arrangements.
Depending on the specific Service, you agree that certain privacy rights requests relating to Provider Services may need to be directed to the applicable Provider, including where the Provider controls the underlying healthcare relationship, PHI, determines the purposes and means of processing, or otherwise acts as the legally responsible entity under applicable healthcare or privacy laws.

Viome takes its responsibility of protecting customers' Personal Information seriously. Where possible, Viome de-identifies all Personal Information used for our Services. We use and disclose only the minimum amount of Personal Information necessary for providing our Services, or to comply with legal or regulatory requirements.
Viome uses the information it collects from customers, information we receive from the Providers, clinical and test data, information the customers provide in response to our questionnaires, self-reported information, etc. for the purpose of providing the Services as stated in our Privacy Policy. Viome also uses the information and data it generates in the process of providing its Services (which involve the use of Viome's proprietary technology), in de-identified form, for scientific research and to improve its data analytics methods and artificial intelligence engine used in the Service.
In addition to physical and technological safeguards, Viome has adopted administrative safeguards such as policies and procedures that require its employees, contractors, service providers, and business associates to protect Viome customers’ Personal Information.
Viome protects, processes, and uses the Personal Information of its customers in accordance with the terms of our Privacy Policy, and the terms of the Provider Contracts and the BAAs between Viome and the Providers.
Providers shall comply with all applicable state and federal laws and regulations pertaining to privacy and protection of patients' health information including, but not limited to, HIPAA and any applicable state law.
Viome agrees to treat the PHI it receives and have access to in accordance with applicable law, Provider Contracts, and the BAAs with the Providers who are Covered Entities.
Nothing in this Provider Notice is intended to modify, limit, or replace any rights, obligations, authorizations, restrictions, or responsibilities established under applicable healthcare laws, BAAs, Provider Contracts, patient consents, or other legally binding arrangements governing Provider Services and providing our Services related to Provider Ordered Tests.
